INTRODUCTION

These Terms of Service (“Terms”) govern your relationship with Top Security Services LLC (“Company,” “we,” or “us”) when you engage our security services, visit our website, or otherwise interact with our business. By using our services or website, you agree to these Terms.

SERVICE AGREEMENT

SERVICES PROVIDED

We provide professional security services including but not limited to:

• The Kenyatta Method℠ protective services
• Invisible Protection℠ discreet security
• Executive security details
• Event security
• Security assessments and consulting
• Custom security solutions

Specific services, deliverables, timelines, and fees will be detailed in your Service Agreement, which complements these Terms.

SERVICE LIMITATIONS

While we strive for excellence, our services:

• Are preventative and responsive in nature
• Cannot guarantee elimination of all security risks
• Require your cooperation and information sharing
• Must comply with all applicable laws and regulations
• May be affected by factors beyond our control

CLIENT RESPONSIBILITIES

When engaging our services, you agree to:

INFORMATION PROVISION

• Provide accurate, complete information about security concerns
• Update us promptly of changes to schedules, locations, or threats
• Disclose relevant medical conditions that could affect security responses
• Inform us of any legal restrictions applicable to you or your location

COOPERATION

• Follow security protocols recommended by our personnel
• Alert our team to unusual circumstances or potential threats
• Provide access to locations necessary for security provision
• Attend scheduled briefings and training sessions as required

BEHAVIOR

• Treat our personnel with respect and professionalism
• Refrain from requesting services that violate laws or regulations
• Not interfere with our personnel in performance of their duties
• Not disclose sensitive security protocols to unauthorized parties

PAYMENT TERMS

FEES AND EXPENSES

• Service fees are specified in your Service Agreement
• A deposit may be required before service commencement
• Additional expenses incurred will be documented and invoiced
• Emergency response services may incur premium rates

PAYMENT SCHEDULE

• Invoices are issued according to the schedule in your Service Agreement
• Payment is due upon receipt unless otherwise specified
• Late payments are subject to a 1.5% monthly interest charge
• Service may be suspended if payments are more than 15 days overdue

TERMINATION

BY CLIENT

You may terminate services:

• As specified in your Service Agreement
• With 30 days’ written notice (standard services)
• Immediately in case of material breach by us

BY COMPANY

We may terminate services:

• As specified in your Service Agreement
• With 30 days’ written notice
• Immediately if:
  • You breach these Terms or your Service Agreement
  • You engage in illegal activity
  • You create unsafe conditions for our personnel
  • You fail to pay amounts due

EFFECT OF TERMINATION

• You remain responsible for payment for services rendered
• Confidentiality obligations continue after termination
• Certain provisions of these Terms survive termination

CONFIDENTIALITY

OUR COMMITMENT

We will:

• Keep your information strictly confidential
• Limit access to personnel with a need to know
• Use industry-standard measures to protect your information
• Not disclose your security arrangements without permission

YOUR OBLIGATION

You will:

• Protect confidential information shared by us
• Not disclose security protocols, personnel identities, or methods
• Keep security assessment results confidential
• Inform us immediately of any security breaches

LIABILITY LIMITATIONS

LIMITATION OF LIABILITY

Our liability is limited to:

• The amount paid for services in the 12 months preceding a claim
• Direct damages only (no consequential, incidental, or special damages)
• Claims brought within one year of the event giving rise to liability

INDEMNIFICATION

You agree to indemnify us against claims arising from:

• Your violation of these Terms
• Your violation of laws or regulations
• Information you provide to us
• Actions you take contrary to our security advice

FORCE MAJEURE

Neither party is liable for failures due to:

• Natural disasters or acts of God
• War, terrorism, or civil unrest
• Government actions or restrictions
• Other circumstances beyond reasonable control

GENERAL PROVISIONS

GOVERNING LAW

These Terms are governed by the laws of the State of Georgia without regard to conflict of law principles.

DISPUTE RESOLUTION

• We both agree to attempt good-faith resolution of disputes
• Unresolved disputes will be submitted to binding arbitration in Atlanta, Georgia
• Small claims below $15,000 may be pursued in courts of competent jurisdiction

MODIFICATIONS

We may modify these Terms by:

• Providing 30 days’ notice for material changes
• Posting updates on our website
• Sending notice to your last provided contact information
• Your continued use of services constitutes acceptance

SEVERABILITY

If any provision is found unenforceable, the remaining provisions remain in effect.

ENTIRE AGREEMENT

These Terms, your Service Agreement, our Privacy Policy, and any signed amendments constitute the entire agreement between us.
